Question:   When do I need to incorporate my business?
Answer:   You do not need to incorporate your business enterprise to be in business in the United States. Incorporation is a state authorization to do business as a corporation under the laws of the State. In other words, a corporation is acutally an articifical being, a legal entity created by the State to perform as a corporation under the rules of that State. Normally, there are three general reason why businesses incorporate. These are: (1) a means to generate capital through the issuance of shares of stock authorized by the State; (2) to limited personal liability for the obligations of the business; (3) to give the entity continuity in ownership. In Texas, the Secretary of State is the department that addresses incorporaton for profit enterprises and non-profit entities. We advise that you seek legal counsel when considering incorporation.
